1. Introduction
These Terms and Conditions govern your use of our website and our professional audio and video editing services. By placing an order or submitting media files to us, you enter into a legally binding contract and agree to these terms. If you do not agree, please do not use our services.
2. Scope of Services
We provide professional audio editing, mixing, and mastering for podcast dialogue, alongside video editing tailored for YouTube podcasts.
- Content Formats: Our video editing services cover both long-form podcast episodes and short-form content, including but not limited to Instagram Reels, YouTube Shorts, and TikTok clips.
- Deliverables: Every project includes the initial edit and up to three (3) rounds of revisions.
- Quality Disclaimer: The technical quality of the final delivered project is inherently limited by the quality, background noise, and clarity of the source media files provided by the client.
3. Ordering and Payments
- Milestone Structure: All projects require a non-refundable 50% deposit before work begins. The remaining 50% balance must be paid upon your final approval of the drafts, prior to the delivery of the final unwatermarked files.
- Interac e-Transfer: Payments must be made via Interac e-Transfer. Work will not commence, and project timelines will not begin, until the initial deposit e-Transfer is completely processed and verified.
- Invoicing: Following each successful payment milestone, an itemized receipt will be issued to the client via email in the form of an invoice.
4. Project Submission and Media Handling
- Secure Uploads: Once payment is confirmed, you will receive a secure upload link via email to submit your source audio or video files.
- No File Retention: We do not act as a storage or hosting service. All client source files and completed project files are permanently deleted from our systems once the final project is completed and delivered.
- Client Backups: Clients are strictly responsible for maintaining permanent backup copies of their original raw footage and the final edited files. We are not liable for lost, deleted, or corrupted files after delivery.
5. Revisions and Delivery timelines
- Turnaround Times: Estimated delivery dates are specified and agreed upon at the time of order placement.
- Revision Window: The three (3) included revisions must be requested within fourteen (14) days of receiving the initial draft. Revisions must align with the scope of the original project instructions.
- Out of Scope: Requests for a completely different style, entirely new raw footage swaps, or revisions exceeding the included three rounds will incur additional service fees.
6. Client Warranties and Copyright Ownership
- Content Rights: The client warrants that they own or have obtained all necessary legal rights, licenses, and permissions for all media files (including audio, video, graphics, and background music) provided to us for editing.
- Indemnification: You agree to indemnify and hold us harmless from any legal claims, copyright strikes, or damages resulting from copyrighted or unauthorized material embedded in your project.
- Final Ownership: You retain full ownership of your original content and receive full rights to the final edited output upon successful payment.
- Portfolio Right: We reserve the right to showcase short, non-confidential excerpts of completed work in our professional portfolio or website unless you explicitly request otherwise in writing prior to project completion.
7. Refund and Cancellation Policy
Due to the digital, custom, and labor-intensive nature of audio and video production, all sales are final and refunds are not provided once editing work has begun. If we are unable to complete a project due to unexpected internal issues on our end, a partial or full refund may be issued at our sole discretion.
8. Limitation of Liability
We are not liable for any direct, indirect, or incidental damages, including but not limited to loss of revenue, YouTube channel monetization issues, distribution delays, project delays caused by slow client communication, or technical internet interruptions beyond our control. Our total financial liability shall not exceed the amount paid by the client for the specific project in question.
9. Privacy Integration
Our collection of data is restricted strictly to email addresses and phone numbers for operational communication, as outlined in our Privacy Policy. No financial account numbers or routing numbers are ever exposed to or stored by us during the Interac e-Transfer process.
10. Modifications and Governing Law
We reserve the right to update these Terms and Conditions at any time. Continued use of our services following an update constitutes acceptance of the new terms. These terms are governed by the laws applicable to our primary place of business.
